Smartsheet Case Details
The Complaint alleges that throughout the Class Period, Defendants made materially false and/or misleading statements and failed to disclose material adverse facts about the Company. Specifically, the complaint alleges that:
- Blackstone Inc. and Vista Equity Partners Management, LLC made credible offers to acquire all of Smartsheet’s outstanding stock at a significant premium to its trading price;
- despite this knowledge, Defendants repurchased approximately 1,128,000 shares from unsuspecting investors for approximately $50 million, while making misleading statements touting the repurchase activity without disclosing the existence of the acquisition offers; and
- as a result of the foregoing, Defendants’ statements regarding the Company’s business, operations, and prospects were materially false and misleading and/or lacked a reasonable basis at all relevant times.
